Effective date: July 18, 2026

These Terms of Use (“Terms”) govern your access to and use of the Loger Shopify embedded app, our website at https://loger.io, any standalone Loger web application, and related services offered by Loger Labs (“Loger,” “we,” “us,” or “our”) (collectively, the “Services”).

By installing Loger from the Shopify App Store, creating an account, clicking to accept, or using the Services, you agree to these Terms. If you use the Services on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” includes that entity.

Privacy. Our Privacy Policy describes how we collect and use personal data. By using the Services, you also agree to the Privacy Policy.

1. The Services

Loger is a native Shopify app that runs inside Shopify admin. It helps merchants import, organize, enrich, review, sync, schedule, and publish product and catalog data to Shopify.

Depending on your plan and how you access Loger, the Services may include:

  • Imports from files (CSV, Excel, PDF, Word), images, local folders, Dropbox, and public URLs

  • AI-assisted structuring of supplier data, including vision-based extraction and in-app chat

  • Review and publish workflows, including draft and live publishing, drip batches, and scheduled publishes

  • Catalog updates by matching spreadsheets to live Shopify products and applying selected field changes

  • Store migration from other platforms (e.g. WooCommerce, PrestaShop, BigCommerce, Wix, Squarespace) into Shopify

  • Catalog optimization and brand voice settings, including optional analysis of your public storefront

  • Import mapping profiles, activity analytics, and rollback features on eligible plans

Loger is catalog infrastructure for Shopify. It is not a theme, checkout, marketing automation, or customer-relationship tool. Features and availability may change over time. We may modify, suspend, or discontinue any part of the Services with reasonable notice where practicable.

Beta / preview features may be unstable or withdrawn without notice.

Standalone web access. Loger may also offer a separate web-based workspace with overlapping catalog features. Where you use that surface, these Terms still apply, but authentication, billing, and certain integrations may differ as described below.

2. Eligibility and accounts

You must be at least the age of digital consent in your jurisdiction (typically 16 or 18) and able to form a binding contract.

Shopify embedded app

When you install Loger in Shopify, you access the Services as an authorized Shopify staff user through Shopify’s embedded app framework. You do not create a separate Loger password for that access path. You are responsible for:

  • Ensuring you have authority to install apps and manage catalog data for the connected Shopify store

  • All activity performed in Loger under your Shopify staff session

  • Keeping your Shopify account credentials secure

During onboarding, you may be asked to acknowledge Loger’s permissions, Terms, and Privacy Policy before using the app.

Standalone web accounts

If you use the standalone Loger web product, you may register with email/password or third-party sign-in (e.g. Google). You are responsible for accurate registration information, safeguarding your credentials, and notifying us promptly of unauthorized use.

We may refuse registration, suspend, or terminate access that violates these Terms or poses risk to the Services or others.

3. Subscriptions and fees

Shopify App Billing (primary)

If you install or subscribe to Loger through the Shopify App Store, all fees are processed through Shopify App Billing. By subscribing to a paid plan, you agree to Shopify’s applicable terms and authorize Shopify to charge your store account for applicable fees and taxes.

  • Billing cycle. Fees are billed on a recurring cycle (typically every 30 days) or as otherwise shown at purchase, depending on your plan.

  • Trials and plan changes. Trial periods, upgrades, downgrades, and cancellations follow the plan terms shown in the app and Shopify’s billing flows.

  • Refunds. Fees are generally non-refundable except where required by law or expressly stated at purchase. Refund requests for Shopify-billed subscriptions must be handled in accordance with Shopify’s policies.

If you uninstall Loger, your Shopify subscription entitlement ends in accordance with Shopify billing rules and our Privacy Policy.

Stripe (standalone web product only)

If you access Loger outside the Shopify embedded app and subscribe through our standalone web product, payments are processed by Stripe. In that case, you agree to Stripe’s terms of service and to pay applicable fees and taxes under the plan shown at checkout.

We may change prices with reasonable advance notice. Failure to pay may result in downgrade or termination of access.

4. Your content and data

Your content. You retain ownership of data, files, and materials you submit to the Services (“Your Content”), including supplier files, product data, images, prompts, and configuration you provide. You grant Loger a non-exclusive, worldwide license to host, process, transmit, display, and otherwise use Your Content only to provide, secure, and improve the Services and as described in our Privacy Policy.

Responsibility. You represent that you have all rights and consents needed to submit Your Content and to instruct us to process it (including connecting third-party accounts, migration sources, and stores). You are responsible for the accuracy and legality of Your Content and for compliance with applicable laws (e.g. consumer pricing, product claims, intellectual property, and marketplace rules).

Shopify product data. When you publish or update products through Loger, you instruct us to read and write product and inventory data in your Shopify store through the permissions you grant at install. Loger does not access or store your Shopify customer personal data under its current app permissions.

AI outputs. Where the Services use AI, outputs are assistive and may be wrong. You must review outputs before relying on them, especially before publishing to live sales channels.

5. Acceptable use

You agree not to:

  • Violate any law or third-party rights (including IP, privacy, and contract)

  • Upload malware, probe or attack our systems, or bypass security or usage limits

  • Scrape or automate access to the Services in a way that impairs performance or violates our technical policies

  • Use the Services to build a competing product by systematically extracting our non-public data or documentation

  • Misrepresent identity, send spam, or harass others

  • Submit unlawful, defamatory, or infringing content

We may investigate and remove content or suspend access for violations.

6. Third-party services

The Services interoperate with third-party platforms and providers, including:

  • Shopify — authentication, embedded app hosting, Admin API access, and billing

  • Dropbox — optional import source when you connect it

  • Migration platforms — e.g. WooCommerce, PrestaShop, BigCommerce, Wix, Squarespace, when you supply credentials

  • Google — sign-in and/or Google Drive on the standalone web product, where offered

  • AI, hosting, email, analytics, and payment providers described in our Privacy Policy

Those services are independent; their terms and privacy policies apply. Loger does not control and is not responsible for third-party acts, outages, or API changes. You are responsible for your relationships and compliance with those platforms.

7. Intellectual property

The Services, including software, branding, and documentation (excluding Your Content), are owned by Loger or its licensors and are protected by IP laws. Except for the limited rights to use the Services under these Terms, no rights are granted. You may not copy, modify, distribute, or reverse engineer our software except as allowed by applicable law.

8. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOGER DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION OR THAT DEFECTS WILL BE CORRECTED.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • LOGER AND ITS AFFILIATES, OFFICERS, AND EMPLOYEES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM THESE TERMS OR THE SERVICES.

  • OUR TOTAL LIABILITY FOR CLAIMS ARISING FROM THESE TERMS OR THE SERVICES IN ANY TWELVE-MONTH PERIOD IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID LOGER FOR THE SERVICES IN THAT PERIOD OR (B) USD 100.

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the maximum permitted by law.

10. Indemnity

You will defend and indemnify Loger and its affiliates, officers, and employees against third-party claims, damages, and costs (including reasonable attorneys’ fees) arising from Your Content, your use of the Services in violation of these Terms, or your violation of law or third-party rights.

11. Termination

You may stop using the Services at any time, including by uninstalling the Shopify app or closing a standalone account.

We may suspend or terminate access for breach of these Terms, risk to security, or legal reasons. Upon termination, your right to use the Services ends.

Data after uninstall. If you uninstall Loger from Shopify, we revoke API access and end Shopify billing entitlement, but we may retain Your Content for a period to support reinstallation, support, and legal obligations, as described in our Privacy Policy. Full erasure of Shopify shop data occurs when Shopify sends a mandatory shop/redact request or when you otherwise request deletion as permitted by law.

Sections that by nature should survive (e.g. disclaimers, liability limits, indemnity, governing law) survive termination.

12. Governing law and disputes

These Terms are governed by the laws of Sweden, excluding conflict-of-law rules. Courts located in Skövde, Sweden have exclusive jurisdiction, except where mandatory consumer protection laws require otherwise.

13. Changes

We may update these Terms by posting a new version and updating the “Last updated” date. If changes are material, we will provide additional notice where required (including in-app notice for Shopify merchants where appropriate). Continued use after the effective date constitutes acceptance. If you do not agree, stop using the Services and uninstall the app where applicable.

14. General

  • Entire agreement. These Terms and the Privacy Policy are the entire agreement regarding the Services (subject to any separate enterprise agreement you sign).

  • Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale.

  • No waiver. Failure to enforce a provision is not a waiver.

  • Severability. If a provision is invalid, the remainder remains in effect.

  • Export. You comply with export and sanctions laws.
